We invite you to carefully read these General Terms and Conditions of Use (“Terms”) for the Costrick platform, including our website (www.costrick.com) and upcoming mobile application (“Platform”). These Terms govern the relationship between Costrick Ltd (“Costrick”, “we”, “us”, “our”), a company registered in Scotland (company number SC806470) at 6 Ristol Road, Glasgow, G13 1UY, and users of the Platform (“User”, “you”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

Purpose of the Platform

The Costrick Platform is a business-to-business (B2B) service designed to connect convenience stores with wholesalers, enabling retailers to compare products, check availability, and place orders efficiently. The Platform supports account registration, order processing, and access to promotional offers. These Terms apply to all interactions with the Platform, including browsing, account creation, and order placement. Additional policies, such as our Privacy Policy and Cookie Policy, are incorporated by reference and should be reviewed.

Modification of Terms

We reserve the right to amend these Terms at our discretion. Changes will be posted on the Platform with the updated date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. We encourage regular review to stay informed.

Definitions and Interpretation

In these Terms:

  • Platform: Refers to www.costrick.com and the upcoming Costrick mobile app.
  • User: An individual or entity (e.g., convenience store owner or authorised staff) accessing the Platform.
  • Personal Data: Information relating to an identified or identifiable individual, as defined in our Privacy Policy.
  • Content: All materials on the Platform, including text, graphics, logos, and software.
  • Wholesaler: A supplier partnered with Costrick to provide products or services via the Platform.
  • Consumer: An individual using the Platform for purposes unrelated to their trade or business (not typically applicable, as Costrick is B2B-focused).

Terms Applicable to Use of the Platform

Eligibility and Access

The Platform is intended for UK-based convenience store owners, managers, or authorised staff aged 18 or over. You must have the authority to agree to these Terms to use the Platform. We grant you a limited, non-exclusive, revocable licence to access the Platform for business purposes, such as comparing stock, placing orders, or managing your account. This licence does not permit:

  • Resale or commercial use of Platform Content without permission.
  • Copying, modifying, or reverse-engineering any Content or software.
  • Using data mining tools, bots, or similar technologies to extract data.
  • Reproducing, distributing, or publishing Content without our consent.

We may terminate your access if you breach these Terms or applicable laws.

Account Security

To use the Platform, you must register an account with accurate details (e.g., name, business address, contact information). You are responsible for maintaining the confidentiality of your account credentials and restricting access to your device. If your account is compromised, notify us immediately at contact@costrick.com. We may take actions such as suspending your account or resetting credentials to ensure security. We are not liable for unauthorised access resulting from your failure to secure your account, but we will take reasonable steps to protect your data within our control.

Intellectual Property

All Content on the Platform, including trademarks, designs, text, and software, is owned by Costrick or its licensors and protected by UK and international intellectual property laws. The “Costrick” name and logo are our trademarks and may not be used without prior written consent. You may view or print Content for personal, non-commercial use related to your business operations, but you must not copy, modify, or distribute Content without permission. Any unauthorised use may violate copyright, trademark, or other laws, and we reserve the right to enforce our rights.

Software

Any software provided via the Platform, including app features, is licensed to you on a non-exclusive, limited basis. You may not copy, modify, decompile, or create derivative works from this software. We retain all intellectual property rights in the software.

Hyperlinks

You may link to the Platform’s homepage, provided it does not portray Costrick in a misleading or derogatory manner. Framing or using our trademarks in meta-tags without consent is prohibited. We provide links to wholesaler websites or third-party services for convenience, but we do not endorse or assume responsibility for their content or practices. Review their terms before engaging.

Your Responsibilities

You agree to provide accurate, current, and complete information when registering or using the Platform. You must not:

  • Engage in unlawful activities or breach others’ rights.
  • Impersonate others or misrepresent your affiliation.
  • Upload harmful content, such as viruses or malware.

We may monitor Platform activity to ensure compliance and reserve the right to investigate breaches, suspend accounts, or take legal action if necessary. You are responsible for any content you upload and agree to indemnify Costrick against claims arising from your actions or violations of these Terms.

Minors

The Platform is not intended for individuals under 18. We do not knowingly permit minors to register or use our services. If you are under 18, you must not provide personal data or attempt to use the Platform.

Disclaimers

The Platform and its Content are provided “as is” without warranties, express or implied, to the extent permitted by law. We do not guarantee that the Platform will be uninterrupted, error-free, or free from viruses. You use the Platform at your own risk, and we are not liable for damages arising from your use, except where prohibited by law (e.g., for death or personal injury caused by our negligence).

Terms Applicable to Services via the Platform

Using the Platform

To use the Platform’s comparison-shopping engine or order services, you must register an account. The Platform allows you to compare products, check availability, view promotions, and place orders with wholesalers. Orders are subject to wholesaler terms, which you should review. A valid Costrick account is required, and services are limited to UK-based businesses.

Contract Formation and Payment

The Platform facilitates orders between you and wholesalers. Your order constitutes an offer to purchase, which the wholesaler accepts upon confirming the order. We confirm receipt of your order via email, but acceptance occurs upon dispatch or delivery, depending on the wholesaler’s terms. Prices may vary due to delivery fees or wholesaler pricing. We accept major debit/credit cards and digital payment methods (e.g., PayPal). Payments are processed at order placement, subject to authorisation by your payment provider. If payment fails, we will not process the order. We use a token management service to update saved payment details automatically (e.g., for expired cards) to ensure seamless transactions.

Service Descriptions and Availability

We strive to ensure that service descriptions, such as product listings or promotions, are accurate, but we do not guarantee availability or pricing. We may change offerings, prices, or promotions without notice, subject to applicable law. If an order cannot be fulfilled due to inaccuracies or unavailability, we will notify you and issue a refund or credit. Images on the Platform are illustrative and may differ from actual products.

Delivery and Risk

Delivery is handled by wholesalers or their logistics partners. Risk of loss or damage passes to you upon delivery, as per the wholesaler’s terms. We are not liable for delays or failures caused by circumstances beyond our control (e.g., weather or supplier issues).

Governing Law and Jurisdiction

These Terms are governed by the laws of Scotland. If you are a Consumer, you may bring proceedings in Scotland, England, Wales, or Northern Ireland, depending on your residence. Non-Consumers agree to the exclusive jurisdiction of Scottish courts.

Termination

We may suspend or terminate your access to the Platform without notice if you breach these Terms or applicable law. Upon termination, these Terms continue to apply to prior actions.

Liability

We are not liable for losses arising from your use of the Platform, except where caused by our negligence or breach of these Terms. We do not exclude liability for death, personal injury, fraud, or defective services under the Consumer Rights Act 2015. For non-Consumers, our liability is limited to the price of services purchased, and we are not liable for business losses (e.g., lost profits or data).

Severability and Waivers

If any provision of these Terms is found unlawful or unenforceable, it will be severed without affecting the remaining provisions. No waiver of a breach constitutes a waiver of future breaches unless made in writing.

Third-Party Rights

Only Costrick and its affiliates may enforce these Terms under the Contracts (Rights of Third Parties) Act 1999. No other party has rights under these Terms.
